POSITION OVERVIEW:
This role will support the ASEAN and South Pacific operating unit (“ASP OU”), focusing on Indonesia and Papua New Guinea. The successful candidate will manage corporate secretarial works for the 2 legal entities in Indonesia and Papua New Guinea, provide counselling on contract, commercial, marketing, product supply, food law, employment, privacy and antitrust law (among others) to all of the client groups, draft and negotiate agreements, and review marketing materials, campaigns and promotional matters. Further, the successful candidate will provide guidance and direction regarding the Company’s operations in an ethical manner, compliance programs and policies, including the Code of Business Conduct, competition law policies, privacy and data protection, regulatory compliance, support OU Counsel and collaborate with the rest of the ASP OU Legal team for various OU/global initiatives.
KEY RESPONSIBILITIES:
Manage and ensure compliance of corporate secretarial works, including main investment licenses, for the 2 legal entities in Indonesia and Papua New Guinea (with necessary local external counsel support particularly for Papua New Guinea)
Provide local legal support the Concentrate Plant in Indonesia
Provide proactive and creative strategic and tactical legal counseling and support, advice and assist in problem resolution on a timely basis; work as part of cross-functional teams on projects and initiatives to achieve business result in the right way
Proactively provide legal opinion as needed, conduct legal research and where necessary, work with outside counsel for advice on complex matters and local laws/regulations
Draft, review, and negotiate key legal contracts to achieve business objectives, minimize risk and ensure compliance with Company policies, laws, and regulations
Review and approve all marketing initiatives including all labels, claims, packaging, advertising, campaigns and promotional mechanics and terms & conditions, public affairs and consumer communications
Provide litigation assessment counseling and risk mitigation advice
Participate in all cross-functional projects on innovation, new product launches and development
Represent and/or guide the representation of Company interests in dealing with local governmental authorities
Ensure compliance with Company policy and provide proper training and support in the areas of corporate governance, including but not limited to Code of Business Conduct, Anti-Bribery Compliance, Supplier Guiding Principles, FCPA, Trade Sanctions, Anti-trust, Privacy Policy and other policies.
Develop and support efficiency opportunities within the legal function to enhance the agility and effectiveness of the legal function.
Carry out any other instruction given by OU Counsel to advance the interests of the Business
Collaborate with the rest of the ASP OU legal team on OU global initiatives
KEY TECHNICAL SKILLS:
Legal Efficiency: Strong in basic Indonesian laws and regulations, including in the area of contract & commercial, corporate, investment, employment, consumer protection and competition, and ability to learn more industry/country related laws, such as food law, e-commerce and the applicable laws and regulations in PNG
Business Partnership: Provide strategic legal support and business solutions to ensure realization of business priorities, while continuing to identify opportunities to bring consistency and uniformity to legal work and implementation of initiatives in an effort to enhance business-wide activities.
Asset Protection and Risk Identification/ Management: Protect, defend and enforce the Company’s assets and intellectual property rights; identify, assess, and mitigate, minimize, eliminate and manage risks through preventative compliance initiatives; manage and resolve litigation and other dispute resolution and provide pre-litigation counseling and litigation avoidance; and ensure that the operations of the business comply with all legal and regulatory requirements. Provide strategic and thought leadership on all marketing activities, including the review and approval of advertising, marketing, promotional and merchandising materials, and claims.
Governance and Compliance: Drive, promote and model an ethical culture, and ensure compliance and governance standards are followed in operating units by providing training and counsel on COBC, and administering compliance with regulatory and policy requirements, including among other, those related to the Foreign Corrupt Practices Act, Trade Sanctions, Competition Law, Intellectual Property Law, Use of Competitive Sensitive Information, Employment and Labor Law, Securities Law, Privacy and Data Protection laws, Environmental and Food Law.
Contracts and Transactions: Draft, review and negotiate customer, M&A, distribution, procurement, sponsorship, marketing and other contracts with significant authority as per delegation of authority to make final decision on legal issue.

RELATED WORK EXPERIENCE:
No less than 8 years in-house counsel or law firm experience. Experience in the FMCG industry or supporting customer and commercial operations would be a plus.
QUALIFICATIONS:
Bachelor of Laws (Hons), JD degree or equivalent
Qualified Lawyer – National Bar Qualification is required
LANGUAGE REQUIREMENTS:
Fluent spoken and written English and Bahasa Indonesia.
TECHNOLOGY/SYSTEMS REQUIREMENTS
Proficient in the use of Microsoft Office suite of products. Strong presentation skills.
TRAVEL:
Under 20%. Some travel may be required regionally within the operating unit.
